Terms of Service

These terms govern your use of shopproai.io and the services provided by ShopPro AI (“ShopPro,” “we,” “us”), operated by Sam Berry in Abilene, Texas. By using this site or engaging our services, you agree to them.

Note: if you are a ShopPro client, the written service agreement you signed governs your engagement. Where that agreement and these terms differ, your signed agreement controls.

1. What we provide

ShopPro builds and operates marketing and communication systems for independent auto repair shops. Depending on what you have purchased, that may include a website, a phone answering assistant, review collection, appointment scheduling, and customer messaging. The specific scope of what we deliver is set out in your service agreement.

3. What we need from you

To do the work, we need accurate information about your business and reasonable cooperation — responses to questions, access to accounts where required, and approval at the points where we ask for it. Delays in these will delay delivery.

You are responsible for the accuracy and legality of information you give us to publish, including pricing, warranty claims, certifications, and staff information.

4. Messaging and compliance

If your services include text messaging to your customers, you are responsible for having a lawful basis to contact those customers, and you agree not to ask us to send messages to people who have not consented or who have opted out. We will decline to send messages that we believe violate carrier rules or applicable law.

Text messaging to US numbers requires carrier registration, which depends on approval by third parties we do not control. We will submit and manage registration on your behalf, but we cannot guarantee approval timelines.

6. Third-party services

Our services depend on third-party platforms including HighLevel, telecom carriers, hosting providers, and Google. Their outages, policy changes, and pricing are outside our control. We will work around problems where we can and tell you promptly where we cannot.

7. No guarantee of results

We build systems that are designed to generate calls and customers, and we will tell you honestly what we think will and won’t work. We do not guarantee specific search rankings, call volumes, or revenue. Anyone who does is guessing.

8. Limitation of liability

To the fullest extent permitted by law, our total liability for any claim arising out of our services is limited to the amount you paid us in the three months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business.

9. Termination

Either of us may end the engagement with notice. On termination we will stop billing, and on request will provide a reasonable export of your customer data. Services, phone numbers, and hosted pages we provide will be deactivated at the end of the paid period.

10. Governing law

These terms are governed by the laws of the State of Texas, and any dispute will be handled in the courts of Taylor County, Texas.

11. Changes

We may update these terms. The date at the top reflects the current version, and material changes affecting active clients will be sent to them directly.
